In consideration of your use of the Eurolink Website, you agree to provide true, accurate, and complete information about yourself if prompted by any Eurolink Website account registration or ordering processes. In addition, you agree to update that information in order to maintain its truth, accuracy, and completeness. You agree that all information you provide to register with the Eurolink Website or otherwise is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

This license to use the Eurolink Website is limited to personal and non-commercial uses by you. Any rights not expressly granted to you herein are reserved to Eurolink. You understand and agree that Eurolink, in its sole discretion, may terminate your account, direct you to cease using the Eurolink Website, and discontinue or restrict your access to the Eurolink Website, all without notice to you and for any reason. You agree that Eurolink shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Eurolink Website, your status as an account holder, or any parts thereof.

The Eurolink Website and its entire contents, features, and functionality including but not limited to all information, software, text, artwork, designs, graphics, page headers, logos, button icons, images, audio clips, video clips, digital downloads, prices, product descriptions, data compilations, scripts, trade names, service names, trade dress, and the design, selection, and arrangement thereof (collectively, “Content”), is the property of Eurolink, its licensors, or other third party providers, and is protected by U.S. and international trademark, copyright, and other intellectual property laws.

Systematic retrieval of data or other Content from the Eurolink Website to prepare any collection, compilation, database, or directory is strictly prohibited. EXCEPT AS EXPRESSLY PROVIDED HEREIN BY THESE TERMS, NEITHER EUROLINK NOR ANY THIRD PARTY HAS CONFERRED UPON YOU BY IMPLICATION, ESTOPPEL, OR OTHERWISE, ANY LICENSE OR RIGHT UNDER ANY PATENT, TRADEMARK, COPYRIGHT, OR OTHER PROPRIETARY RIGHTS TO USE THE EUROLINK WEBSITE. NO OWNERSHIP RIGHTS ARE OR WILL BE ASSIGNED TO YOU.

You may use the Eurolink Website only for lawful purposes and in accordance with this Agreement Use. You agree not to use the Eurolink Website: in any way that violates any applicable federal, state, local or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries); for the purpose of exploiting, harming or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information or otherwise; to send, knowingly receive, upload, download, use or re-use any material which does not comply with the Contribution Standards set out in this Agreement; to transmit, or procure the sending of, any advertising or promotional material without Eurolink prior written consent, including any “junk mail”, “chain letter” or “spam” or any other similar solicitation; to impersonate or attempt to impersonate Eurolink, a Eurolink employee, another user or any other person or entity (including, without limitation, by using e-mail addresses or screen names associated with any of the foregoing); or to engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Eurolink Website, or which, as determined by us, may harm the Eurolink Website or users of the Eurolink Website or expose them to liability.

Additionally, you agree not to: use the Eurolink Website in any manner that could disable, overburden, damage, or impair the Eurolink Website or interfere with any other party’s use of the Eurolink Website, including their ability to engage in real time activities through the Eurolink Website; use any robot, spider or other automatic device, process or means to access the Eurolink Website for any purpose, including monitoring or copying any of the material on the Eurolink Website; use any manual process to monitor or copy any of the material on the Eurolink Website or for any other unauthorized purpose without our prior written consent; use any device, software or routine that interferes with the proper working of the Eurolink Website; introduce any viruses, trojan horses, worms, logic bombs or other material which is malicious or technologically harmful; attempt to gain unauthorized access to, interfere with, damage or disrupt any parts of the Eurolink Website, the server on which the Eurolink Website is stored, or any server, computer or database connected to the Eurolink Website; attack the Eurolink Website via a denial-of-service attack or a distributed denial-of-service attack; or otherwise attempt to interfere with the proper working of the Eurolink Website.

These contribution standards apply to any and all User Contributions. User Contributions must in their entirety comply with all applicable federal, state, local and international laws and regulations. Without limiting the foregoing, User Contributions must not: contain any material which is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory or otherwise objectionable; promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation or age; infringe any patent, trademark, trade secret, copyright or other intellectual property or other rights of any other person; violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with this Agreement and our Privacy Policy; be likely to deceive any person; promote any illegal activity, or advocate, promote or assist any unlawful act; cause annoyance, inconvenience or needless anxiety or be likely to upset, embarrass, alarm or annoy any other person; impersonate any person, or misrepresent your identity or affiliation with any person or organization; involve commercial activities or sales, such as contests, sweepstakes and other sales promotions, barter or advertising; or give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.

Eurolink reserves the right to: remove or refuse to post any User Contributions for any or no reason in our sole discretion; take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates this Agreement, including the Contribution Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Eurolink Website or the public or could create liability for Eurolink; take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Eurolink Website; and terminate or suspend your access to all or part of the Eurolink Website for any or no reason, including without limitation, any violation of this Agreement.

We do not undertake to review all User Contributions before they are posted on the Eurolink Website, and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications or information provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

It is our policy to respect the intellectual property rights of others. If you are alleging that material available through the Eurolink Website infringes upon your copyright, we ask that you please submit a written notification pursuant to the Digital Millennium Copyright Act (“DMCA”) to the address provided below. Any claim relating to the use of the Eurolink Website and any Content shall be governed by the internal substantive laws of the State of South Carolina, without regard to its conflicts of laws rules. You expressly consent to having any action arising under or in connection with this Agreement being brought only in the state or federal courts located in Greenville County, SC and hereby agree to submit yourself to the exclusive jurisdiction of said courts.

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE EUROLINK WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

No waiver of by Eurolink of any term or condition set forth in this Agreement shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Eurolink to assert a right or provision under this Agreement shall not constitute a waiver of such right or provision.

If any provision of this Agreement is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of this Agreement will continue in full force and effect.

This Agreement, as amended, and the consents provided by you, constitute the entire agreement between you and Eurolink.
